Terms of Business
1 The fees quoted for this work are set out in the proposal document
2 Travelling and subsistence expenses are recharged as incurred at cost, based on first class rail travel, business class airfares, and mileage charged at a rate per mile.
3 Fees and expenses, along with VAT at the rate prevailing at the time of invoicing, will be invoiced weekly / monthly.
4 Invoices are payable within twenty-eight days. Where payments are delayed we understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under late payment legislation.
5 The client will provide appropriate facilities and equipment either on their premises or at an agreed location.
6 Confidentiality will exist between the parties with regard to information and materials provided and / or developed.
7 Forecasts and recommendations made during an assignment are provided in good faith on the basis of instructions given and information provided by the client.
8 All delegates on in-house training events must be employees of the client, except by prior agreement.
9 Additional delegates over the specified number will be charged at an additional cost for the provision of training materials.
10 Copyright and Intellectual Property remain the property of RedCap Associates.
11 We reserve the right to use clients’ name in marketing and advertising materials.
12 Termination;
a) For training events once a course has been timetabled, if it is cancelled giving more than eight weeks notice then no charges will be incurred. If cancelled giving between four and eight weeks notice, then 50% of the fee is payable. If cancelled at less than 4 weeks notice then 75% of the fee is payable.
b) For consultancy projects either party may terminate the project at any time giving 30 days written notice of their intention. In that event RedCap Associates will be entitled to charge for and be paid for the fees and expenses incurred on the project up to the point of termination.
13 English law shall govern these conditions.
